The Woodlands Township Board Holds Meeting

THE WOODLANDS, TX -- The Woodlands Township Board of Directors held its regular meeting on Wednesday, June 23, 2021 at The Woodlands Township Town Hall, 2801 Technology Forest Boulevard in The Woodlands, Texas.

As part of the President/General Manager’s Report Agenda Item, Township Director of Community Relations, Nick Wolda, provided a recap of the Township’s Memorial Day event held on Sunday, May 30, 2021. The Board of Directors received reports from the villages of Alden Bridge, Cochran’s Crossing, Creekside Park, Grogan’s Mill, Panther Creek and Sterling Ridge.

Before addressing regular business items, the Board of Directors issued a proclamation.

In recognition of the South County Fourth of July Parade Committee which works tirelessly to plan the annual parade for families, neighbors and friends in The Woodlands to celebrate freedom and to provide local businesses, village associations and community groups with an opportunity to come together for our nation’s birthday, the Board of Directors proclaimed Saturday, July 3, 2021 as The South County Fourth of July Parade Committee Day.

The Board of Directors took the following actions on the Consent Agenda:

• Approved an electrical easement for the Lakes Edge Boat House.
• Approved Resolution No. 013-21 regarding the Annual Report on Financial Information and Operating Data for the disclosure filing pertaining to Sales Tax and Hotel Occupancy Tax Refunding Bonds, Series 2019; Unlimited Tax Bonds, Series 2011; Unlimited Tax Bonds, Series 2012; and Unlimited Tax Refunding Bonds, Series 2019.
• Approved ratification of an Interlocal Agreement with Geotechnology Research Institute.

The Board of Directors discussed the following matters:

• Approved selection of a government relations consultant and authorized an agreement in connection therewith. View the presentation here.
• Received and accepted a presentation on Incorporation Planning Study matters. More information can be viewed on the Incorporation Study website.
• Discussed the following in connection with the issuance of the Unlimited Tax Refunding Bonds, Series 2021:
-----Approved the Preliminary Official Statement and Official Notice of Sale and authorized distribution of the same.
-----Authorized the Township’s financial advisor to advertise for the sale of the Refunding Bonds.
-----Established parameters for sale of the Refunding Bonds pursuant to Texas Government Code, Section 1207.007.
-----Approved an Order authorizing the issuance of the Refunding Bonds, including delegation of authority pursuant to Texas Government Code, Section 1207.007.
-----Authorized the Township’s financial advisor to proceed with the preparation of a final Plan of Finance in connection with the Refunding Bonds.
-----Approved execution of a Paying Agent/Registrar Agreement by and between the Township and Bank of New York Mellon Trust Company, N.A. in connection with the Refunding Bonds.
-----Approved execution of an Escrow Agreement by and between the Township and Bank of New York Mellon Trust Company, N.A. in connection with the Refunding Bonds.
-----Authorized completion and distribution of a Final Official Statement in connection with the Refunding Bonds.
-----Authorized the payment of fees to the Attorney General of the State of Texas in connection with the Refunding Bonds.
-----Authorized any other matters concerning the Refunding Bonds, including approval and execution of various documents for inclusion in the transcript of proceedings to be submitted to the Attorney General of the State of Texas.
-----Authorized designated Township officer(s) or employee(s) to:
----------Execute a Pricing Certificate relative to the Refunding Bonds.
----------Authorize disbursement of proceeds relative to the Refunding Bonds.
----------Authorized execution of closing documentation relative to the Refunding Bonds.
----------Authorized execution and filing of an Internal Revenue Service reporting form relative to the Refunding Bonds.
----------Authorized the Township’s disclosure counsel to file material events notices relative to the bonds to be refunded by the Refunding Bonds.
• Accepted the financial report.
• Approved a recommendation from the Audit Committee on the Comprehensive Annual Financial Report and the Single Audit Reports for the year ended December 31, 2020.
• Accepted an update from the One Water Task Force and its Chairman Bruce Rieser.
• Approved Resolution No. 015-21 nominating Director Bob Milner to fill a vacancy on the Harris County Appraisal District Board.
• No action taken on a proposal regarding e-bikes on the Township pathways. View the presentation here.
